Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and The Development Studio ("Company," "we," "our," or "us") regarding your use of our website and services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
2. Description of Services
The Development Studio provides the following services:
- Custom software development and application design
- Artificial Intelligence integration and implementation
- Cloud infrastructure setup and management
- Technology consulting and strategic planning
- System integration and API development
- Ongoing maintenance and support services
All services are provided according to specifications agreed upon in individual project agreements or statements of work.
3. Service Agreement and Scope
3.1 Project Engagement
Each project engagement will be governed by a separate statement of work or project agreement that outlines specific deliverables, timelines, and compensation terms.
3.2 Scope Changes
Any changes to the agreed project scope must be requested in writing and approved by both parties. Additional work outside the original scope may result in additional charges and timeline adjustments.
3.3 Client Responsibilities
Clients are responsible for:
- Providing timely feedback and approvals
- Supplying necessary access, credentials, and materials
- Maintaining confidentiality of shared access information
- Ensuring compliance with applicable laws and regulations
4. Intellectual Property Rights
4.1 Client Ownership
Upon full payment of all fees, clients will own all custom code, designs, and materials specifically created for their project, excluding any pre-existing intellectual property and general methodologies.
4.2 Company Rights
The Development Studio retains rights to general knowledge, techniques, methodologies, and frameworks developed or used in the course of providing services.
4.3 Third-Party Components
Third-party software, libraries, and components remain the property of their respective owners and are subject to their original licenses.
4.4 Portfolio Rights
We may include completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
5. Payment Terms
5.1 Fees and Billing
All fees and payment schedules will be specified in individual project agreements. Payment terms may include upfront deposits, milestone payments, or other arrangements as agreed.
5.2 Late Payments
Late payments may incur additional fees and may result in suspension of work until payment is received. Interest charges may apply to overdue amounts.
5.3 Refunds
Refund policies will be specified in individual project agreements. Generally, work completed to satisfaction is non-refundable.
5.4 Taxes
All prices are exclusive of applicable taxes, duties, and fees, which are the responsibility of the client.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of the engagement. This includes:
- Business strategies, processes, and proprietary methods
- Technical specifications and implementation details
- Customer data and personal information
- Financial information and business metrics
Confidentiality obligations survive termination of the service agreement.
7. Warranties and Disclaimers
7.1 Service Warranty
We warrant that services will be performed in a professional manner consistent with industry standards. Any defects in deliverables will be corrected at no additional cost within a reasonable time frame.
7.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE DEVELOPMENT STUDIO'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
9. Support and Maintenance
9.1 Warranty Period
We provide a 30-day warranty period for bug fixes and corrections to deliverables, beginning from the date of final delivery.
9.2 Ongoing Support
Ongoing maintenance and support services are available under separate agreements and may include regular updates, monitoring, and technical support.
9.3 Emergency Support
Emergency support services may be available outside normal business hours under separate arrangements and premium pricing.
10. Termination
10.1 Termination by Either Party
Either party may terminate the service agreement with written notice. Termination does not relieve the client of payment obligations for work completed.
10.2 Termination for Cause
Either party may terminate immediately for material breach of these Terms or project agreement, provided written notice is given and the breach is not cured within 30 days.
10.3 Effect of Termination
Upon termination, each party will return or destroy confidential information of the other party. Client will pay for all work completed up to the termination date.
11. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services will be resolved through binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act.
The arbitration will be conducted in English and take place in Gondia (Maharashtra), India. The arbitrator's decision will be final and binding.
12. General Provisions
12.1 Entire Agreement
These Terms, together with any applicable project agreements, constitute the entire agreement between the parties and supersede all prior agreements and understandings.
12.2 Modifications
We may modify these Terms at any time by posting updated Terms on our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
12.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
12.4 Force Majeure
Neither party will be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, pandemics, or government actions.
